Terms of Service
These Terms of Service ("Terms") govern your use of the Taxly platform ("Service") operated by Neuragrid Technologies Ltd ("Taxly", "we", "us") in partnership with Boldmind Elite Solutions. By creating an account or using the Service, you agree to be bound by these Terms.
1. About the Service
Taxly is a tax compliance platform that enables Nigerian individuals and businesses to:
- Prepare and submit tax returns (PIT, CIT, VAT, WHT) to the Nigeria Revenue Service (NRS) via the TaxProMax portal
- Upload and manage supporting documents (bank statements, payslips, audited financials)
- Request audited financial statements
- Track filing status and receive NRS Document IDs
2. Eligibility
- You must be at least 18 years old to use the Service
- You must be a Nigerian tax resident or a business registered in Nigeria
- You must provide accurate and truthful information
- You must have legal authority to file tax returns for the entity you represent
3. Your Account
- You are responsible for maintaining the confidentiality of your account credentials
- You are responsible for all activity that occurs under your account
- You must notify us immediately at support@taxlytech.com if you suspect unauthorised access
- We reserve the right to suspend or terminate accounts that violate these Terms
4. Your Responsibilities
You agree to:
- Provide accurate, complete, and truthful information for all tax filings
- Ensure your TIN (Tax Identification Number) is valid and belongs to you or your authorised entity
- Review all filing summaries before submission — once submitted, filings cannot be recalled
- Provide valid TaxProMax credentials if you wish us to file on your behalf
- Keep your uploaded documents current and accurate
- Comply with all applicable Nigerian tax laws and regulations
5. Our Responsibilities
We agree to:
- Process your tax filings accurately based on the data you provide
- Submit filings to NRS via TaxProMax in a timely manner
- Deliver NRS Document IDs to you upon successful filing
- Protect your personal data in accordance with our Privacy Policy
- Maintain the security and availability of the platform using industry-standard measures
- Notify you of any material changes to the Service or these Terms
6. Limitation of Liability
Taxly is not liable for:
- Tax penalties, interest, or assessments resulting from incorrect, incomplete, or fraudulent data you provide
- Delays or failures caused by the NRS TaxProMax system being unavailable, slow, or experiencing errors
- Losses arising from your failure to review filing summaries before submission
- Consequences of providing invalid or expired TaxProMax credentials
- Tax advice you receive from third parties and act upon through our platform
- Service interruptions due to force majeure events (natural disasters, government actions, internet outages)
To the maximum extent permitted by Nigerian law, our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to Taxly in the 12 months preceding the claim.
7. Indemnification
You agree to indemnify and hold harmless Neuragrid Technologies Ltd, Boldmind Elite Solutions, and their directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your breach of these Terms
- Inaccurate or fraudulent data you submit through the platform
- Your violation of any applicable law or regulation
- Your infringement of any third party's rights
8. Subscription and Payments
8.1 Plans and Pricing
- Taxly offers subscription plans (Individual, Business, Corporate) with pricing displayed on the platform
- Prices are in Nigerian Naira (₦) and include applicable taxes
- We reserve the right to change pricing with 30 days' notice to existing subscribers
8.2 Payment Processing
- Payments are processed securely by Monnify, a licensed Nigerian payment processor
- We do not store your card details — these are handled entirely by Monnify
- Subscriptions are activated immediately upon successful payment confirmation
8.3 Refund Policy
- Subscriptions are non-refundable once a tax filing has been submitted on your behalf
- If no filing has been submitted, you may request a full refund within 14 days of payment by emailing support@taxlytech.com
- Refunds are processed within 5–10 business days to the original payment method
9. Intellectual Property
- The Taxly platform, including its design, code, branding, and content, is the intellectual property of Neuragrid Technologies Ltd
- You retain ownership of all data and documents you upload to the platform
- You grant us a limited licence to process your data solely for the purpose of providing the Service
- You may not copy, modify, distribute, or reverse-engineer any part of the platform
10. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose, including tax evasion or fraud
- Submit false or misleading information
- Attempt to access other users' data or accounts
- Interfere with or disrupt the Service's infrastructure
- Use automated tools (bots, scrapers) to access the Service without our written permission
- Resell or redistribute access to the Service
11. Account Termination
11.1 By You
You may close your account at any time from the Profile & Settings page or by emailing support@taxlytech.com. Upon closure:
- Your TaxProMax credentials are deleted immediately
- Your account data is retained for 6 months (to allow recovery), then deleted
- Tax filings and supporting documents are retained for 7 years as required by Nigerian tax law
11.2 By Us
We may suspend or terminate your account if:
- You breach these Terms
- We reasonably suspect fraudulent activity
- You fail to pay subscription fees
- Required by law or regulatory order
We will provide reasonable notice before termination except in cases of fraud or legal requirement.
12. Service Availability
- We aim to maintain high availability but do not guarantee uninterrupted access
- Scheduled maintenance will be communicated in advance where possible
- We are not responsible for downtime caused by third-party services (NRS, Monnify, AWS)
- No Service Level Agreement (SLA) is provided unless separately agreed in writing
13. Dispute Resolution
- These Terms are governed by the laws of the Federal Republic of Nigeria
- Any dispute shall first be attempted to be resolved through good-faith negotiation
- If negotiation fails within 30 days, disputes shall be submitted to mediation under the Lagos Multi-Door Courthouse
- If mediation fails, disputes shall be resolved by the courts of Lagos State, Nigeria
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and Security page, constitute the entire agreement between you and Taxly regarding the Service.
